Reseller Agreement and Terms of Sale
This Agreement is made between the undersigned, hereinafter called the “Reseller”, and Hippocrates Health Institute, hereinafter called “HHI” or the Institute. This replaces and supersedes any pre-existing agreements.
All sales made by Hippocrates Health Institute LLC to you ("Reseller") are governed by these Terms and Conditions of Sale unless otherwise indicated by Hippocrates Health Institute in writing. Please read these Terms and Conditions thoroughly before submitting an application for a wholesale account. Do not submit the wholesale application unless you understand these Terms and Conditions and agree to abide by them. Hippocrates Health Institute LLC reserves the right to amend or modify these Terms and Conditions of sale at any time at its sole discretion. The failure of Hippocrates Health Institute LLC to exercise or enforce any right or provision of these terms and conditions of sale shall not constitute a waiver of such right or provision. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to these terms and conditions of sale must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in these terms and conditions of sale are for convenience only and have no legal or contractual effect. Hippocrates Health Institute LLC shall not accept Reseller’s purchase orders unless and until Reseller consents to these Terms and Conditions of Sale and completes the Wholesale Application. These Terms and Conditions of Sale as set forth in this document supersede the terms and conditions of Reseller’s purchase order(s) and will govern all transactions between Reseller and Hippocrates Health Institute LLC. These Terms and Conditions of Sale also apply to all future transactions unless modified in writing signed by Hippocrates Health Institute, LLC and Reseller. Either party, with 30-day written notice, can terminate wholesale relationship. Reseller may NOT make any medical claims of cures, healing efficacy or disease prevention resulting from the use of supplements, on behalf of Hippocrates Health Institute, or themselves; NOR can Reseller make any guarantees pertaining to the possible improvement of one’s health.
WHOLESALE DISCOUNT
LifeGive Supplements wholesale discount is provided at 40% off the RRP to registered wholesale account holders. Wholesale prices will only become visible after login and clicking on the wholesale portal link.
MINIMUM ORDER REQUIREMENTS
Hippocrates Life Give Supplements are offered in quantities of 12 of a specific supplement. You must order a minimum of 12 line-items when placing an order. Supplements cannot be combined in one case totaling 12 (i.e. 6 of one supplement - 6 of another).
MANUFACTURER’S SUGGESTED RETAIL PRICE (MSRP)
Products purchased from Hippocrates Health Institute LLC shall only be sold at the manufacturer’s suggested retail price (MSRP).
SAMPLES
Hippocrates Health Institute LLC will make every attempt to accommodate free sample requests for interested businesses. Free Samples will be sent to potential wholesale accounts at the sole discretion of Hippocrates Health Institute LLC. Sample recipient must prove they are a legitimate business prior to shipment of samples. Due to fluctuations in inventory, certain sample items may be substituted at the sole discretion of Hippocrates Health Institute LLC.

CHANGES TO PRICING & PRODUCTS
Prices and products are subject to change without notice. All merchandise will be shipped/delivered at the prices in effect at the time of order. Hippocrates Health Institute LLC reserves the right, at its sole discretion, to change ingredients, packaging and included documentation. All orders are subject to availability.
PRODUCT SHELF LIFE
All of LifeGive supplements have a 2-year shelf life from the manufacturing date and the Best By date is on the bottom of every bottle/package of supplements. All LifeGive products have been through Stability testing and have a Certificate of Analysis on file.
PLACING AN ORDER
Online
Online orders for LifeGive supplements can be made by registering for a wholesale account via www.lifegive.com. Orders must be paid upfront and shipping may be charged dependent on the terms agree terms of the order placed.
Email/Phone
Hippocrates Health Institute accepts orders via email and phone. Please contact us at mailorder@hippocratesinst.org or 877.582.5850. Phone and email orders can be paid for online with a credit or debit card. An invoice will be sent to the email provided.
PAYMENT METHODS
Hippocrates Health Institute requires pre-payment on first orders. Terms maybe extended after the first order has been placed. COD is not accepted.
Credit/Debit Cards
We accept credit card payments (preferred method) over the phone and via email.
Resellers agrees not to file a chargeback with their issuing bank and understand in doing so
Reseller give Hippocrates Health Institute LLC the right to take legal action to enforce these conditions. In the event Hippocrates Health Institute LLC must seek legal action to enforce these conditions or collect a debt, defendant shall bear legal fees.
Checks
Hippocrates Health Institute will accept business checks. Please contact us for more information on paying for your order(s) with checks to Hippocrates Health Institute.
DELIVERY, SHIPPING & LEAD TIMES
Lead time for first orders begins AFTER payment has been received. Future orders will ship per the lead time specified.
Shipping
Hippocrates Health Institute LLC uses FedEx Ground and United States Postal Service for shipping unless you specify/request a quicker or different method of shipping. Please provide us with your shipping account number if you would like your shipping billed to your account. If no account number is, provided shipping will be billed to your invoice. All Supplement purchases must comply with your local Government Laws. If a shipment is refused by Customs and returned to HHI, the return shipping charge will be the Wholesaler’s responsibility.

Lead Times
Lead times vary based on order size. Hippocrates Health Institute will inform you of your lead time after your order.
SHIPPING ERRORS AND RETURNS
Order errors must be brought to Hippocrates Health Institute LLC Mail Order Departments attention within five (5) business days of receipt of shipment. We endeavor to protect your reputation, and ours; if you or your customer finds an issue related to manufacturing defects within the first thirty (30) days, we will work with you to find a resolution.
Hippocrates Health Institute LLC shall not be liable for defects resulting from goods being stored or used where unsuitable environmental conditions prevail or which have been subject to abnormal degrees of temperature, humidity, and light.
WEB COMMERCE
No products or goods purchased from or produced by Hippocrates Health Institute LLC shall be resold by or through any on-line auction or online store (such as EBay, Amazon or other similar sites) without the express, written authority of Hippocrates Health Institute LLC. If the Reseller is planning to sell products produced by Hippocrates Health Institute LLC in an online marketplace/store, it must be owned or operated by the entity applying for a Wholesale Account and listed on the Wholesale Application to be approved by Hippocrates Health Institute LLC.
DISTRIBUTION
Any Reseller who wishes to distribute Hippocrates Health Institute LLC goods and products to any entity for re-sale must require their customer to strictly adhere to these same Wholesale Account guidelines as set forth in this Wholesale Agreement. Any Wholesale Account who does not enforce these guidelines with their own re-sale customers will be subject to termination of this agreement.
WARRANTY
Reseller agrees that Hippocrates Health Institute LLC makes no warranty, express or implied, as to the merchantability of Hippocrates Health Institute LLC products. The Reseller also agrees that Hippocrates Health Institute LLC is not liable for any misuse or misrepresentations of the goods by the Reseller or the final retail purchaser or consumer, and indemnifies Hippocrates Health Institute LLC for any legal actions that emanate from such actions. Reseller and its customers assume all risk, responsibility and liability for use of Hippocrates Health Institute Supplements.
PRODUCT IMAGES, COPYRIGHTS AND BRAND ASSETS
Hippocrates Health Institute LLC will make available images and brand assets that you might require for your print and online presence by request. Any imagery you provide yourself must be approved prior to use (please allow adequate lead-time for approval; one (1) week is recommended). All materials published on the Hippocrates Health Institute LLC website, packaging and promotional materials (including but not limited to articles, photographs, images, illustrations, audio clips and video clips) are protected by copyrights which are owned and controlled by Hippocrates Health Institute, LLC or the party credited as the provider of the material. The entire contents of these documents are also copyrighted as a collective work under the United States copyright laws, and the selection, coordination, arrangement and enhancement of such content are protected by copyright. No material from this website or any website owned, operated, licensed, or controlled by Hippocrates Health Institute LLC, product packaging, or other promotional documentation may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way. You acknowledge that you do not acquire any ownership rights by downloading, printing or reproducing and copyrighted material. The use of any such material on any other website or networked computer environment is prohibited. All trademarks, service marks, and trade names are proprietary to Hippocrates Health Institute LLC or the other designated owner of a posted mark. Reseller agrees not allege to consumers that they, nor their appointees manufactured these products.
CONFIDENTIALITY
Wholesale prices and pricelists of Hippocrates Health Institute LLC products are confidential, and for the use of the Resellers only. Publishing, revealing or disseminating the wholesale pricing, flavors or ingredient listing of Hippocrates Health Institute LLC product line outside of the business of the Reseller is strictly forbidden without prior written consent from Hippocrates Health Institute LLC. Failure to preserve the confidentiality of Hippocrates Health Institute LLC in its wholesale pricing, or ingredient listing will result in the immediate and permanent termination of wholesale status of the Reseller. All formulas are property and copyright of Hippocrates Health Institute LLC and are confidential. At no time now or in the future can a Reseller attempt to recreate and/or produce any Hippocrates Health Institute LLC formula with similar ingredients or by a similar name. Hippocrates Health Institute LLC reserves the right to seek compensation for any loss or damages that would result from any breach of confidentiality.
This Agreement will remain in effect unless terminated or modified. Termination can be done by either party, with a 30-day written notice to the undersigned. Modifications can only be made by HHI and will be done by submitting a revised agreement for signature to the Wholesaler. This constitutes the entire agreement, and shall be binding upon both parties.
